By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Eligibility

You must be at least 13 years old, or the minimum legal age in your jurisdiction, to use the Services. If you are under the age of majority, you may use the Services only with the involvement and consent of a parent or legal guardian.

By using the Services, you represent that you have the legal capacity to enter into this agreement.

2. Description of the Services

NamEngine provides AI-assisted naming experiences designed to help users discover names for children, businesses, products, pets, organizations, projects, and other purposes.

The Services generate personalized naming recommendations based on information you choose to provide, your stated preferences, and your interactions with the platform.

The Services are intended to assist your decision-making—not replace your judgment.

3. AI-Generated Recommendations

The names and explanations generated by NamEngine are created using artificial intelligence and proprietary recommendation systems.

Because of the nature of AI:

• recommendations may be similar to suggestions provided to other users;
• recommendations are generated from probabilities rather than certainty;
• suggestions may not be unique;
• recommendations may not satisfy every personal, cultural, legal, linguistic, or commercial requirement.

NamEngine does not guarantee that any suggested name is:

• unique;
• available for trademark registration;
• available as a domain name;
• available on social media platforms;
• legally permissible in any jurisdiction; or
• suitable for your intended purpose.

You are solely responsible for independently verifying the availability and suitability of any name before adopting or using it.

4. Your Decisions

Any decision to use, reject, register, publish, market, or otherwise rely upon a suggested name is entirely your responsibility.

NamEngine is not responsible for:

• trademark conflicts;
• domain availability;
• copyright issues;
• business registration decisions;
• governmental naming restrictions;
• cultural sensitivities;
• personal or family disagreements regarding names; or
• any consequences resulting from your use of a suggested name.

5. User Content

You may provide information such as:

• preferences;
• family background;
• naming goals;
• reactions;
• feedback;
• comments; and
• other content.

You retain ownership of the information you submit.

You grant NamEngine a non-exclusive, worldwide, royalty-free license to use, process, store, reproduce, and analyze that content solely for operating, maintaining, improving, securing, and developing the Services, consistent with our Privacy Policy.

You represent that you have the right to submit any information you provide.

6. Feedback

If you provide suggestions, ideas, improvements, feature requests, or other feedback, you grant NamEngine LLC a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation.

7. Acceptable Use

You agree not to:

• violate any applicable law;
• interfere with the operation of the Services;
• attempt unauthorized access to our systems;
• reverse engineer or scrape the Services except as permitted by law;
• use automated systems to overload the platform;
• upload malicious software;
• impersonate another person;
• infringe intellectual property rights;
• use the Services for unlawful, fraudulent, or harmful purposes.

We reserve the right to suspend or terminate accounts that violate these Terms.

8. Intellectual Property

The Services, including software, algorithms, interface design, branding, graphics, documentation, and content provided by NamEngine, are owned by NamEngine LLC or its licensors and are protected by applicable intellectual property laws. These Terms do not grant ownership of any NamEngine intellectual property.

9. Accounts

Certain features may require an account.

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.

Notify us promptly of any unauthorized use.

10. Payments and Subscriptions

Certain Services may require payment.

If you purchase a subscription or paid feature:

• fees are disclosed before purchase;
• recurring subscriptions renew automatically unless canceled;
• taxes may apply where required by law.

Additional billing terms may be presented at the time of purchase.

11. Refunds

Refund eligibility is governed by applicable law and any refund policy displayed at the time of purchase.

For paid NamEngine access, NamEngine offers a 100% money-back guarantee if NamEngine doesn’t feel useful.

Other digital services may be non-refundable unless otherwise stated at purchase or required by law.

12. Privacy

Your use of the Services is also governed by the NamEngine Privacy Policy.

Please review that policy to understand how we collect, use, and protect your information.

13. Third-Party Services

NamEngine may rely on third-party providers for functionality including artificial intelligence services, hosting, analytics, authentication, payment processing, communications, and cloud infrastructure.

We are not responsible for the availability or actions of third-party providers.

14. Service Availability

We strive to provide reliable Services but do not guarantee uninterrupted or error-free operation.

The Services may be modified, suspended, or discontinued at any time without liability.

15. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAMENGINE LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAMENGINE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, BUSINESS OPPORTUNITIES, DATA, GOODWILL, OR REPUTATION.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO NAMENGINE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply.

17. Indemnification

You agree to indemnify and hold harmless NamEngine LLC, its officers, employees, contractors, affiliates, licensors, and agents from claims, damages, liabilities, costs, and expenses arising from:

• your use of the Services;
• your violation of these Terms;
• your violation of applicable law; or
• your infringement of another party's rights.

18. Copyright

If you believe content on the Services infringes your copyright, please contact us with sufficient information to investigate the claim.

NamEngine will respond to valid notices as required by applicable law.

19. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any disputes arising under these Terms shall be resolved in the state or federal courts located in California, and you consent to the jurisdiction of those courts.

20. Changes to These Terms

We may update these Terms from time to time.

When material changes are made, we will revise the Effective Date and, where appropriate, provide additional notice.

Continued use of the Services after revised Terms become effective constitutes acceptance of the updated Terms.
